Terms of Service & Disclaimer

Please review these terms, which govern the estimating and takeoff services provided by DRTX Facility Maintenance, LLC.

1. Services Provided

DRTX Facility Maintenance, LLC ("DRTX," "we," "us") provides construction estimating, quantity takeoff, and bid-proposal preparation services for commercial and residential projects across standard construction trades. Services are performed remotely based on plans, specifications, and other documents submitted by the client ("Client," "you").

2. Scope & Project-Type Limitations

DRTX specializes in conventional commercial and residential projects across standard trades. We do not provide estimates for specialized, highly-regulated, or high-complexity project types β€” including but not limited to hospitals and healthcare facilities, laboratories, cleanrooms, data centers, large infrastructure projects, and projects involving specialized systems such as medical gas, hazardous materials abatement, or hardened life-safety systems β€” unless expressly agreed to by DRTX in writing in advance. DRTX reserves the right to decline any project at its discretion.

3. Basis of Estimates

All estimates and takeoffs are prepared based solely on the documents and information provided by the Client. The accuracy and completeness of any estimate depends on the accuracy, completeness, and legibility of those documents. Estimates reflect quantities and pricing as of the date of delivery and are subject to change based on market conditions, material availability, labor rates, project revisions, and site conditions not reflected in the provided documents.

4. Client Responsibility to Review & Verify

Estimates and takeoffs are provided as tools to support the Client's bidding and budgeting decisions. They are not guarantees of final project cost. The Client is solely responsible for reviewing every estimate for accuracy and completeness, and for independently verifying all quantities, pricing, assumptions, inclusions, exclusions, and scope against the project documents and the Client's own knowledge of the project before submitting any bid, quotation, or proposal, or entering into any contract. The Client should not rely on a DRTX estimate as the sole basis for any bid or financial commitment.

5. Accuracy Guarantee

Any accuracy representation made by DRTX (such as a stated tolerance) applies only to the quantities and pricing derived from the specific documents provided by the Client, as of the date of delivery, and assumes those documents are complete, accurate, and final. It does not extend to changes in scope, document revisions, pricing fluctuations after delivery, errors or omissions in the Client-provided documents, or conditions not shown in those documents.

6. Limitation of Liability

To the maximum extent permitted by law, DRTX is not liable for bid outcomes, awarded or lost contracts, lost profits, or any direct, indirect, incidental, or consequential damages arising from the use of or reliance on any estimate, takeoff, or proposal we provide. The Client's exclusive remedy for any error attributable to DRTX is limited to correction of the deliverable or a refund of the fee paid for that deliverable, at DRTX's discretion.

7. Branded Deliverables

Estimates may be delivered branded with the Client's company name, logo, and contact information at the Client's request. The Client is responsible for ensuring it has the right to use any branding it provides and that the final estimate is reviewed and approved by the Client before it is presented to any third party.

8. Payment

Fees are billed per project or per the terms of an active monthly retainer. Invoicing is handled through QuickBooks. Payment terms are stated at the time of quote or in the applicable retainer agreement.

9. Retainer Plans β€” Monthly Estimates, Unused Estimates & Overages

Monthly retainer plans reserve a set amount of estimating capacity each billing month (for example, "up to 5 estimates per month"). The monthly allotment refreshes at the start of each billing cycle.

Unused estimates do not roll over. Any estimates not used within a billing month expire at the end of that month and do not carry forward or accumulate. A retainer reserves DRTX's priority estimating capacity and availability for the Client each month; the monthly fee is for that reserved capacity and is not reduced, credited, or refunded for unused estimates.

Estimates beyond the monthly allotment (overages) are available upon request and are billed in addition to the retainer fee at DRTX's then-current standard per-estimate (one-off) rate, or at a discounted retainer-member rate where offered. DRTX will confirm any overage pricing before performing the additional work.

For the purpose of these plans, a single "estimate" generally refers to one estimate or takeoff for one project of standard scope. Unusually large, complex, or multi-trade projects may, at DRTX's discretion and with advance notice to the Client, count as more than one estimate against the monthly allotment or be quoted separately.

Retainer plans are billed monthly and may be changed or canceled with reasonable advance notice as stated in the applicable retainer agreement.

10. Confidentiality & Data Handling

DRTX understands that construction plans, specifications, bid documents, and related project information are sensitive and may include confidential, proprietary, or competitively significant material β€” including documents associated with public, government, or institutional projects. DRTX is committed to protecting that information and handles it as follows:

10.1 Confidential treatment. All plans, drawings, specifications, files, and project information submitted by the Client ("Confidential Materials") are treated as confidential. DRTX uses Confidential Materials solely to prepare the estimate, takeoff, or proposal requested by the Client, and for no other purpose.

10.2 No disclosure to third parties. DRTX does not sell, share, publish, or disclose Confidential Materials to any third party, except to subcontractors or service providers engaged by DRTX to help prepare the Client's deliverable, who are bound by the same confidentiality obligations. DRTX does not disclose the identity of a Client's project or bid to competing parties.

10.3 Secure submission. For larger or more sensitive document sets, DRTX provides a private upload method (a file-request link) through which uploaded materials are accessible only to DRTX and are not visible to other clients or to the public. Clients submitting highly sensitive materials are encouraged to use this private upload method rather than less secure channels.

10.4 Retention and deletion. DRTX retains Confidential Materials only as long as reasonably necessary to complete and support the requested work. Upon the Client's written request, DRTX will delete or return the Client's Confidential Materials, subject to any records DRTX must retain to document the work performed.

10.5 Client responsibility. The Client is responsible for ensuring it has the right to share any documents it submits to DRTX, and for complying with any confidentiality, security, or distribution restrictions imposed by the project owner, public agency, or document issuer. The Client should not submit materials it is not authorized to share.

10.6 No guarantee against unlawful access. While DRTX takes reasonable measures to protect Confidential Materials, no method of electronic transmission or storage is completely secure. DRTX cannot guarantee absolute security and is not liable for unauthorized access obtained through means beyond its reasonable control.

11. Changes to These Terms

DRTX may update these terms from time to time. The version posted on this page at the time services are engaged governs that engagement.
